a) Establishment – Registration of companies
Our Law Firm has a long-standing expertise in the establishment and registration of companies of all legal forms in Greece and abroad, rendering to client the appropriate advice concerning the most beneficial plan, redefinition of the plan or the restructuring of their business activity.
In addition, it advices companies in connection with the direction that should be followed concerning the investment incentives offered by the the legislative and regulatory framework on the concrete business planning. We also deal with the submission of the relevant application to the competent public service in co-operation with consultants of different specialisations, if needed. Moreover, we support legally and consult about the registration of foreign companies in Greece and their operation.
In this context we also advise foreign clients and their staff to acquire Golden Visa and the necessary residence and work permit in Greece, respectively.
b) Acquisitions, Transformations and Mergers of companies
The acquisition and buying-out of companies, as well as the transformation to a different corporate form and the merger of companies constitute a significant part of our Firm’s rendered services. These services include – inte allia – multiple legal controls and search, drafting of the required legal documents and the continuous rendering of legal advices. The ownership regime of shares, land assets of the company and their transfer, the legal structure of the company, licenses that the regulatory regime provides, the detection of apparent and/or non apparent liens and burdens, the labour regime of the employees and the transfer of rights and obligations of both the employer and employees to the new owner, constitute part of our engagement (due diligence). Our Firm in case of mergers and acquisitions also advise and represent client before the Competition Committee and the competent Administrative Courts on issues relating to the legal framework of free competition.
c) Network Organisation – Advertising – Commercial and Industrial Property
Our Firm offers both judicial and out of Court services to banks, companies, disposing of long experience on the Hellenic and European regulatory framework of markets, including the organization of networks of distribution, representation, logistics and transfer of the products in question, drafting the relevant contracts, as well as contracts relative to the finance of those activities. Moreover, the Firm renders its legal advices on issues concerning advertising ( Council of Communication Control), publications, general terms of transactions, consumers’ protection, protection of personal data, registration of National, European and International trademarks with the State Authorities, EUIPO and WIPO following due diligence.
d) Compettion Law
Competition constitutes a major area of our engagement. In this respect we render judicial and out of Court services before the competent Administrative, Civil and Penal Courts of Greece.
e) Shipping Law
Our Law Firm has special knowledge and expertise on contracts for the purchase of ships, financing agreements, charterparties, collateral agreements and the establishment and operation of shipyards, the registration and operation of shipping companies in Greece (including those as provided by investment law) and abroad, relations among shareholders and ship labour disputes. Our experience also covers pursuing or rebutting litigation or out-of-court shipping claims of any kind, including – but not limited to – cargoes, insurance, banking loan agreements, labour claims etc. The Firm was particularly successful in handling a major shipping accident which occurred in the Mediterranean Sea in relation to the compensation payable to surviving seamen, environmental pollution and the entire procedure in and out of court in both Greece and abroad.
f) Intellectual Property Law – Confidentiality Agreements
The Law Firm offers its services in the conclusion of contracts relating to the protection of intellectual property including copyright in artistic works, the production of audiovisual works, software and the publication of books in Greece and abroad. Our services also cover the protection of related rights (indicatively database right). Intellectual property law issues also arise from the firm’s involvement in public procurement law, computer and internet law. We also represent our clients before the competent courts. Moreover, the Firm engages in drafting and elaborating Confidentiality Agreements concerning Greek and foreign clients.
g) Bankruptcy Law – Insolvency Law
Our Law Firm is experienced in handling bankruptcy law cases involving SMEs and large companies. In this context, the process of reconciliation offers opportunities to reorganize companies facing financial problems. We also deal with the preparation, filing the application with the Court and representing client, aiming at their legal protection provided by Law 3869/2010, as amended.
h) Transport Law
The Law Firm provides legal services to inland and maritime, Greek and international hauliers (CMR & Bill of Lading), as well as to insurance companies in order to cover the risks involved on an contractual and litigation level. The liberalisation of the transport market in Greece is a sector the Law Firm’s clients have shown particular interest in.
